Terms of service
Last updated: 31 October 2026
These terms govern your use of the UplinkOps software and of any support we provide for it. The software is supplied by COMPANY-LEGAL-NAME, registered at COMPANY-REGISTERED-ADDRESS, company number COMPANY-NUMBER, tax identification number COMPANY-TAX-ID (“we”, “us”). By installing or using the software you accept these terms.
1. What you are licensed to do
We grant you a non-exclusive, non-transferable licence to install and run UplinkOps for your own internal purposes, within the limits of the tier you hold.
- A licence covers one location — one server installation — and a maximum number of monitored machines, as set out on the pricing page.
- Network devices monitored without an agent, and machines you have retired, do not count towards that maximum.
- There is no limit on the number of people who use the dashboard.
- A subscription licence runs for the period you paid for. A perpetual licence does not expire; continued access to new versions is a separate, optional yearly fee.
- The free tier is licensed on these same terms, with no support entitlement.
2. What you may not do
- Resell, sublicense, rent out or host the software as a service for third parties, unless you hold a licence that expressly permits it.
- Remove or alter licence enforcement, version information, or the attribution printed in reports.
- Reverse-engineer the software except to the extent that applicable law permits and forbids us to restrict.
- Share a licence file issued to you with anyone else.
3. Licence files and your certificate authority
Licences are issued as a signed file tied to the certificate authority your server generated for your site. Verification is performed locally; your server does not contact us to validate a licence. If you move the server to different hardware and carry the certificates across, the licence continues to work. A completely fresh installation creates a new certificate authority, so the licence must be reissued — we do this free of charge.
4. What happens when a licence expires
On a licence that has been paid for, expiry does not stop monitoring, alerting or notifications, and deletes nothing. Only the addition of new machines is refused, after a 30-day grace period. We do not include any mechanism that disables a paid installation.
If a trial of a larger tier ends without a licence, the installation returns to the free limit of 25 monitored machines. You choose which machines remain monitored; the remainder are marked as paused, and their history, inventory and tickets are retained.
5. Support
Support is provided by e-mail during business days, 08:00–17:00 local time, within the response time and ticket allowance of your tier.
Support covers:
- installing, upgrading and configuring UplinkOps;
- explaining what a reading, alert or report means;
- investigating behaviour of the software that looks incorrect.
Support does not cover:
- your network, directory service, operating systems or hardware;
- resolving the underlying fault that UplinkOps has reported — that is consulting on your own infrastructure, and is billed by the hour;
- migrations from other tools, custom scripts or bespoke integrations, which are quoted separately as services.
Reporting a defect never consumes a support ticket. If the product behaves incorrectly, that is our obligation and not a call on your allowance. When the tickets in your tier are used up, nothing in the software stops working; you may buy hours or move to a higher tier.
6. Prices, payment and renewal
- Prices are as published on the pricing page, exclusive of value added tax and any other applicable tax.
- Payments are processed by our reseller and merchant of record, who issues the invoice and handles applicable sales taxes.
- Nothing renews automatically. A subscription ends at the end of its term unless you choose to renew it.
- Your price is held for three years from purchase.
- You may move to a lower tier at a renewal, once per year, as well as to a higher one.
- We will not move a feature that your tier already includes into a more expensive tier.
Refunds are covered by our refund policy.
7. Updates and versions
We publish new versions from time to time; the release history records each one. The software does not contact us to check for updates, and we cannot upgrade your installation — you decide when to apply a release. Agent updates distributed by your own server are cryptographically signed, and an agent will not accept an unsigned one.
Our installers are not currently code-signed by a certificate authority, so your operating system may warn that the publisher is unknown. Every release package we distribute carries a list of the SHA-256 checksums of the files in it, so that you can verify what you received.
8. Your data
UplinkOps runs on your hardware and stores everything it collects there. We have no access to it, and no copy of it. See the privacy policy for what we do and do not hold.
9. Warranty
We warrant that the software will perform substantially as described in its documentation. Beyond that, and to the extent the law allows, the software is provided as it is, without further warranty of any kind, including any implied warranty of merchantability or fitness for a particular purpose.
UplinkOps reports on the state of your systems; it does not guarantee that state. It is a monitoring and record-keeping tool, not a guarantee that a fault will be detected, that a patch will install, that a vulnerability will be identified, or that any particular obligation of yours is satisfied. Decisions you take on the basis of its output remain yours.
10. Limitation of liability
To the extent permitted by law, neither party is liable for indirect or consequential loss, lost profit, lost revenue, lost data or business interruption. Our total liability arising out of or in connection with these terms is limited to the amount you paid us for the software in the twelve months before the claim arose.
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud.
11. Term and termination
These terms apply for as long as you hold a licence. Either party may terminate for material breach that is not remedied within 30 days of written notice. On termination of a subscription you must stop using the software; a perpetual licence survives, except where it is terminated for breach. Terminating does not of itself entitle you to a refund — see the refund policy.
12. Changes to these terms
We may change these terms for future purchases and renewals. The terms that apply to you are those in force when you purchased or last renewed, and we will not change them to your detriment during a paid term. The date at the top of this page records the current version.
13. Governing law
These terms are governed by the law of GOVERNING-LAW-JURISDICTION, and the courts of GOVERNING-LAW-JURISDICTION have exclusive jurisdiction, except that consumer protection rights available to you under the law of your own country of residence are not affected.
